(HME) declared that it will hold a special meeting of stockholders on Thursday, October 1, 2015, at 10:00 A.M., local time, at Clinton Square, 14th Floor, Rochester, New York 14604 (the “Special Meeting”). At the Special Meeting, holders of record of the Company’s common stock will be asked to consider and vote on the following matters:

  • a proposal to approve the merger of the Company with and into LSREF4 Lighthouse Corporate Acquisitions, LLC, an associate of Lone Star Real Estate Fund IV (U.S.), L.P. (the “REIT merger”), and the formerly declared Agreement and Plan of Merger, dated as of June 22, 2015 and as may be amended from time to time (the “Merger Agreement”);
  • a non-binding, advisory proposal to approve the compensation that may become payable to the Company’s named executive officers in connection with the REIT merger; and
  • a proposal to approve any adjournments of the Special Meeting for the purpose of soliciting additional proxies if there are not sufficient votes at the Special Meeting to approve the REIT merger and the Merger Agreement.

Under the terms of the investment, these BDCs will provide up to $125 million in a mix of debt and equity.

Zeta will use the financing to enhance and expand its Gartner Magic-Quadrant-rated platform; grow its market penetration in the US and UK markets; and accelerate the company’s planned acquisition strategy. Zeta has been an active acquirer in the Data, Analytics and SaaS-based technology sectors. In the past two years, the company has attained the marketing automation platform pioneer, ClickSquared, and the Actions division of Adchemy Inc., together with its patented machine learning platform.

FS Investment Corporation is a business development company specializing in investments in debt securities. It seeks to purchase interests in loans through secondary market transactions or directly from the target companies as primary market investments. It also seeks to invest in first lien senior secured loans, second lien secured loans and, to a lesser extent, subordinated loans, or mezzanine loans. In connection with the debt investments, the firm also receives equity interests such as warrants or options as additional consideration.

Finally, Tripadvisor Inc (NASDAQ:TRIP), decreased -0.60%, to $69.45.

The Independent Traveler, Inc. – publisher of three leading online travel sites, and part of the TripAdvisor Media Group – declares the appointment of Mike Ewing as general manager.
