Amphenol Corporation (APH) declared that it has reached exclusive negotiations and has made a binding offer to acquire 100% of the shares of FCI Asia Pte Ltd (FCI) for $1.275 billion (subject to a closing adjustment). FCI is a global leader in interconnect solutions for the telecom, datacom, wireless communications and industrial markets. FCI, headquartered in Singapore and owned by associates of Bain Capital, is predictable to have 2015 sales and an adjusted EBITDA margin of about $600 million and 20%, respectively. Amphenol Corporation, together with its auxiliaries, primarily designs, manufactures, and markets electrical, electronic, and fiber optic connectors worldwide. It operates through two segments, Interconnect Products and Assemblies, and Cable Products and Solutions. The Interconnect Products and Assemblies segment produces connectors and connector systems, counting fiber optic, harsh environment, high speed, and radio frequency interconnect products, in addition to antennas; power interconnect products, bus bars, and distribution systems; and other connectors.
