In accordance with the terms and conditions of the tender offer and based on the preliminary count by the depositary, American Stock Transfer & Trust Company, LLC, the Company anticipates to acquire about 55.8 million shares of its common stock at a price of $11.45 per share, for an aggregate cost of about $639.0 million, not taking into account fees and expenses regarding the tender offer. As such, the Company has been informed by the depositary that the preliminary proration factor for the tender offer is about 83.74%. The shares predictable to be attained represent about 15.3% of the total number of shares of the Company’s common stock issued and outstanding as of June 29, 2015.
