On Friday, Shares of Bank of America Corp (NYSE:BAC), lost -1.16% to $15.38, after a judge ruled that the company’s Merrill Lynch unit must face a class action shareholder suit for its role in the 2014 buyout of jewelry retailer Zale (ZLC).

The lawsuit stems from Zale’s 2014 acquisition by rival Signet Jewelers for $21 per share, or $690 million.

TIG Advisors, which held a nearly 10% stake in Zale, said that the deal was grossly unfair and that shareholders only narrowly approved the sale, according to Reuters.

Vice Chancellor Donald Parsons dismissed the Zale board and Signet as defendants in the class action suit while also finding that Merrill Lynch could be liable because it didn’t disclose potential conflicts.

About 12,000 retirees and surviving beneficiaries elected to receive voluntary lump-sum payments to settle the Plan`s pension obligation to them. In addition, about 1,900 former employees of JCPenney who have deferred vested benefits elected to receive voluntary lump-sums. The response deadline for the lump-sum offer was September 18, 2015, and the Plan anticipates to make the lump-sum payments in November once the final settlement amount is determined.
