The terms and conditions of the Tender Offer are described in an offer to purchase and the related letter of transmittal, each dated September 29, 2015.

The Tender Offer

The Tender Offer commenced on September 29, 2015. Barrick, Barrick North America Finance LLC and Barrick (PD) Australia Finance Pty Ltd are offering to purchase for cash the series of Notes set out in the table below for an aggregate purchase price (counting principal and premium) of up to $850,000,000, as such amount has been raised by the Offerors, plus accrued and unpaid interest on the Notes from the last applicable interest payment date up to, but not counting, the settlement date. In addition, if Preceding 2 Notes are validly tendered and not validly withdrawn such that the aggregate principal amount of such Preceding 2 Notes would exceed the Preceding 2 Tender Cap, the amount of Preceding 2 Notes purchased will be subject to proration using the procedure more fully described in the Offer to Purchase.

Shares of Oracle Corporation (NYSE:ORCL), declined -1.47% to $37.26, during its last trading session, after a downgrade to “market underperform” from “market perform” at JMP Securities.

The downgrade reflects greater pressure by Amazon.com (AMZN), higher customer dissatisfaction with the company’s pricing and auditing policies, concerns that some cloud deals might not go live, and probable internal concerns about revenue levels, JMP Securities said in a note.

Oracle has missed the consensus revenue estimate in seven of the past nine quarters, and has missed the consensus non-GAAP earnings per share estimate in four of the past nine quarters, the firm added.

In other news, Rutgers, The State University of New Jersey, has contracted with Oracle (NYSE:ORCL) to provide a series of services to streamline the university’s finance, administration reporting, and human resources (HR) functions.

After integrating with most of the schools, institutes, and clinical practices of the former University of Medicine and Dentistry of New Jersey in 2013, Rutgers found itself running different HR, enterprise resource planning, and other systems. Rutgers decided to take a “cloud first” approach to overhaul these legacy systems.

Oracle Corporation develops, manufactures, markets, sells, hosts, and supports database and middleware software, application software, cloud infrastructure, hardware systems, and related services worldwide.

At the end of Wednesday’s trade, Shares of Atmel Corporation (NASDAQ:ATML), inclined 1.41% to $8.63.

Atmel® Corporation and SOMNIUM® Technologies declared the availability of SOMNIUM® DRT as an extension to the recently launched Atmel® Studio 7—a fully integrated development environment (IDE) leveraging the Microsoft Visual Studio Shell.

The SOMNIUM®DRT Atmel Studio Extension is the only product that offers improved code generation while maintaining full compatibility with industry-standard GNU tools that are widely used by Atmel customers. DRT enhances Atmel Studio 7 by enabling superior quality C and C++ code generation for Atmel | SMART ARM®-based microcontrollers (MCUs), resulting in reduced flash requirement for applications, faster code execution, and reduced power consumption. DRT installs as an alternate toolchain, seamlessly replacing the Atmel GNU tools, making SOMNIUM’s patented-resequencing optimizations accessible to Atmel Studio users without complex software rewriting and no costly staff retraining.

Unlike traditional tools that only consider the ARM Cortex-based processor, DRT recognizes the processor coupling and memory system, automatically applying a new series of device-specific optimizations. Developers using SOMNIUM’s DRT products have a noteworthy advantage over their competitors, reaching the market faster with higher performance, greater energy efficiency and more profitable designs.

Atmel Corporation designs, develops, manufactures, and sells semiconductor integrated circuit products primarily in the United States, Asia, Europe, South Africa, and Central and South America.
