Active Stocks Trader’s Round Up: Halliburton Company (NYSE:HAL), Teva Pharmaceutical Industries Limited (NYSE:TEVA), Qiagen NV (NASDAQ:QGEN)

On Friday, Shares of Halliburton Company (NYSE:HAL), gained 0.05% to $41.33.

Halliburton Company, and Baker Hughes Incorporated (BHI) declared that they have reached a timing agreement with the Antitrust Division of the U.S. Department of Justice (DOJ) pursuant to which both companies have agreed to extend the period for the DOJ’s review of Halliburton’s formerly declared acquisition of Baker Hughes to the later of November 25, 2015 or 90 days after both companies have certified substantial compliance with the DOJ’s second request. Both Halliburton and Baker Hughes expect to certify substantial compliance with the DOJ’s second requests, issued to each company, by mid-summer. Timing agreements are often reached in connection with large, complex transactions, and provide the DOJ additional time to review responses to its second requests. In light of the timing agreement, Halliburton and Baker Hughes also have agreed to extend the time period for closing of the acquisition to no later than December 1, 2015.

Halliburton and Baker Hughes continue to be in discussions with the DOJ, the European Commission and other competition enforcement authorities with respect to the acquisition. As formerly declared, Halliburton is presently marketing for sale its Fixed Cutter and Roller Cone Drill Bits, Directional Drilling and Logging-While-Drilling (LWD)/Measurement-While-Drilling (MWD) businesses. In addition, Halliburton has shared with various competition enforcement authorities around the world a proposal to divest additional businesses of the companies which, together with the formerly declared divestitures, are within the scope of those contemplated by Halliburton at the time of the transaction. There is no agreement to date with any competition enforcement authority as to the adequacy of Halliburton’s proposal or any alternative proposal. The parties will continue to work constructively with all competition enforcement authorities that have expressed an interest in the projected transaction.

Shares of Teva Pharmaceutical Industries Limited (NYSE:TEVA), declined -1.21% to $61.38, during its last trading session.

Teva Pharmaceutical Industries Limited, declared the launch of generic Aggrenox® (aspirin/extended-release dipyridamole) capsules in the United States. Aspirin and extended-release dipyridamole capsules are used to lower the risk of stroke in people who have had a mini-stroke (transient ischemic attack or TIA) or stroke due to a blood clot.

A stroke is caused when there is an interruption to the flow of oxygen rich blood to the brain. Without oxygen, brain cells can become damaged and die. Sudden bleeding in the brain can also cause a stroke if it damages brain cells. A stroke can result in brain damage, long-term disability, or even death.

On average, one American dies from stroke every four minutes. As the fifth leading cause of death in America, every year, more than 795,000 people have a stroke, and 25% have had a previous stroke. About 130,000 people will die as the result of a stroke each year.

Aggrenox® (aspirin/extended-release dipyridamole) capsules had annual sales of about $457 million in the United States, according to IMS data as of April 2015.

Teva Pharmaceutical Industries Limited develops, manufactures, markets, and distributes generic, specialty, and other pharmaceutical products worldwide. Seegene, declared that it has reached a worldwide partnership agreement with QIAGEN N.V. (NASDAQ: QGEN) (Frankfurt Prime Standard: QIA) to develop and supply molecular diagnostic assays.

Under the terms of the agreement, Seegene will develop and manufacture multiplex infectious disease testing panels exclusively designed for QIAGEN’s real-time PCR cycler Rotor-Gene Q, member of QIAGEN’s QIAsymphony family of automated instruments, and QIAGEN will have worldwide commercialization rights to these tests.

QIAGEN N.V. provides sample to insight solutions that transform biological samples into valuable molecular insights worldwide. It offers sample technologies to isolate, purify, and stabilize nucleic acids and proteins in plasmid deoxyribonucleic acid (DNA) purification, ribonucleic acid purification and stabilization, genomic and viral nucleic acid purification, DNA cleanup after polymerase chain reaction (PCR) and sequencing, and library preparation for sequencing applications; and assay technologies to detect molecular targets.
