At the end of Wednesday’s trade, Prothena Corporation PLC (NASDAQ:PRTA), dipped -6.39%, and closed at $35.16, as a late-stage clinical biotechnology corporation, declared that it priced an underwritten public offering of 3,300,000 of its ordinary shares at a price to the public of $37.00 per ordinary share, before the underwriting discount. All of the ordinary shares in the offering were sold by Prothena. In addition, Prothena has granted the underwriters a 30-day option to purchase up to an additional 495,000 of its ordinary shares.

Net proceeds to Prothena from the ordinary shares to be sold by Prothena in the offering are predictable to be $114.2 million, after deducting the underwriting discount and estimated offering expenses, but not including any exercise of the underwriters` option to purchase additional ordinary shares. The offering is predictable to close on April 13, 2015, subject to customary closing conditions.

Prothena Corporation plc, a late-stage clinical biotechnology corporation, focuses on the discovery, development, and commercialization of protein immunotherapy programs for the treatment of diseases that involve amyloid or cell adhesion in Ireland.

Royal Dutch Shell plc (ADR) (NYSE:RDS.B), ended its Wednesday’s trading session with -6.13% loss, and closed at $61.45, as The Boards of Shell and BG reveal that they have reached contract on the terms of a recommended cash and share offer to be made by Shell for the entire issued and to be issued share capital of BG. Under the terms of the Combination, BG Shareholders will be entitled to receive:

For each BG Share: 383 pence in cash; and

0.4454 Shell B Shares [1]

Based on the 90 trading day volume weighted average price of 2,170.3 pence per Shell B Share on 7 April 2015 (being the last Business Day before the date of this Declarement), the terms of the Combination represent:

a value of about 1,350 pence per BG Share; and

a premium of about 52% to the 90 trading day volume weighted average price of 890.4 pence per BG Share on 7 April 2015.
